Solar Industries India Limited is acquiring the South African firm Omnia Holdings Limited for Rs 12,951 crore. Solar Industries announced on Monday that its subsidiary, Solar SA Investments Proprietary Limited, will purchase all outstanding Omnia shares in an all-cash deal valued at approximately US$1.355 billion.

The transaction remains subject to regulatory approvals and shareholder consent. Omnia, headquartered in South Africa and listed on the Johannesburg Stock Exchange, has a 73-year history. It operates across 23 countries and serves customers in over 40 nations through a network of more than 70 distribution centers.

Omnia reported a revenue of approximately US$1.41 billion for the financial year ending March 31, 2026. The company maintained a net cash positive position, reflecting strong financial discipline in a competitive global market. The acquisition would expand Solar Industries’ presence in the Southern and Western African regions.

In the current fiscal year’s first quarter, Solar Industries reported a net profit of Rs 653 crore, a 93% increase from the same period last year. Revenue climbed to Rs 3,670 crore, beating analyst estimates. EBITDA rose 82% to Rs 1,024 crore, with margins expanding to 27.7%.
